To Merge or Not to Merge, that is the Question

Nonprofits are encouraged to partner, collaborate, and even merge with each other. How do you know when to truly consider a merger?  The merger process includes decisions that can be emotional and difficult for the two nonprofits. There are also different structures to consider when contemplating a business combination along with related procedural requirements.


During this 1.5 hour presentation, the speakers will address various business and legal issues and considerations about mergers and help nonprofits understand:


  • Why consider a merger or combination,
  • The types of business combinations,
  • The procedural requirements of a merger,
  • Sticky subjects and lessons learned, and
  • Advantages and disadvantages of merging.

Speakers:  Lucy Cusick, Executive Director, FOCUS and Richard Brody, Partner, Troutman Sanders



Rich Brody’s practice includes the areas of mergers and acquisitions, project finance, corporate law, joint ventures, partnerships and limited liability companies, private equity, and capital markets transactions. He has served as counsel to both public and private companies and private investors in negotiation and documentation of acquisition, sale, financing (debt and equity), joint venture and restructuring transactions in over 30 years of practice. He has represented clients in a number of industries, including energy, real estate, healthcare, and broadcast/media. Rich also provides pro bono advice and services through the Pro Bono Partnership of Atlanta and the Georgia Volunteer Lawyers for the Arts.

Lucy Cusick changed career paths 31 years ago.  A graduate of North Carolina State University, Lucy left her career as a microbiologist at the Centers for Disease Control & Prevention after the birth of her premature son.  She became active in FOCUS first as a parent of a child with cerebral palsy, then as a volunteer for the organization.  Lucy became the executive director of FOCUS in 1994.  Under Lucy’s leadership, FOCUS has grown from 400 families to reach over 4,500 families in metro Atlanta; Lucy believes in helping ordinary families under extraordinary circumstances with comfort, hope, fun, and equipment.
